1. 概覽

本使用條款(「本條款」)規範診所使用 SmartClinic AI HK Limited(「本公司」、「我們」)所提供之 WhatsApp AI 智能助理服務(「本服務」)。診所一旦開始使用本服務,即表示同意接受本條款約束。

如您是病人,本條款並非直接適用於您;您與診所之間的醫療服務關係仍受您與該診所的協議規管。本條款主要規範本公司與診所之間的服務使用關係。

2. 服務說明

本服務透過 WhatsApp Business Platform 為診所提供:

  • AI 自動回覆病人查詢
  • 預約管理及確認
  • 排隊狀態查詢
  • 覆診、疫苗接種等提醒(按診所設定發送)
  • 診所職員後台管理工具

本服務功能可能因應業務發展而調整、新增或停用,我們會合理地提前通知診所重大變更。

3. 診所責任

使用本服務的診所同意:

  • 遵守 Meta WhatsApp Business Platform 的使用政策及商業政策
  • 不透過本服務發送未經病人同意的廣告或推廣訊息
  • 不以本服務騷擾、欺詐或誤導病人
  • 遵守適用於其執業範圍的醫療法規及專業守則
  • 對輸入本服務的病人資料的準確性負責
  • 妥善保管後台帳戶登入憑證,並就其帳戶下的活動負責

4. 服務費用

診所應按雙方協定的收費方案按時繳付服務費用。如逾期未繳付,本公司可暫停或限制相關帳戶的服務,並於收到欠款後盡快恢復。

WhatsApp 對話費用由 Meta 直接向診所收取,不屬本公司收費範圍;具體費用請參閱 Meta 官方公佈的收費標準。

5. 服務可用性

我們致力維持本服務穩定運作,但本服務依賴第三方平台(包括但不限於 Meta WhatsApp Business Platform、Google Cloud Platform)。如因該等第三方服務中斷、變更政策或其他非本公司可控的因素導致本服務暫停或受影響,本公司將盡力協助診所了解狀況及尋求替代方案,但對相關中斷不承擔賠償責任。

我們會於合理範圍內就已知的重大服務中斷或維護作出事先通知。

6. 責任範圍

在適用法律允許的最大範圍內,本公司因提供本服務而對診所承擔的累計責任,以診所於導致索償事件發生前一個月內已支付的服務費用為限。

本公司不對因診所或第三方(包括但不限於 Meta、Google)的行為、疏忽或服務中斷而導致的間接、附帶或衍生損失負責。本條款不影響任何法律不容許被排除或限制的責任。

7. 醫療責任聲明

本服務為診所提供之溝通及行政協助工具,AI 回覆內容僅供一般查詢及預約安排用途,不構成醫療意見、診斷或治療建議。診所應確保病人理解此限制,並於有需要時引導病人尋求專業醫療意見。

8. 合約期限及終止

本服務按雙方協定的訂閱方案提供,按月或按協定週期續訂。任何一方均可提前 30 天以書面方式(包括電郵)通知對方終止服務。

本公司亦保留於診所嚴重違反本條款(例如濫用服務發送違規訊息)時,經合理通知後暫停或終止服務的權利。

服務終止後,病人資料將按本公司《私隱政策》所述安排處理及刪除。

9. 條款變更

我們可能因應法規、技術或業務需要更新本條款。重大變更將透過本網站公佈,並更新上方「最後更新日期」。診所如於變更後繼續使用本服務,將視為接受已更新的條款。

10. 適用法律

本條款受香港特別行政區法律管轄及解釋。如有任何爭議,雙方應先以友好協商方式解決;協商不成的,提交香港法院處理。

Terms of Service

1. Overview

These Terms of Service ("these Terms") govern a clinic's use of the WhatsApp AI assistant service ("the Service") provided by SmartClinic AI HK Limited ("the Company", "we", "us"). By using the Service, a clinic agrees to be bound by these Terms.

If you are a patient, these Terms do not directly apply to you; your medical care relationship remains governed by your agreement with the relevant clinic. These Terms primarily govern the service relationship between the Company and clinics.

2. Description of Service

Through the WhatsApp Business Platform, the Service provides clinics with:

  • AI-automated responses to patient enquiries
  • Appointment management and confirmation
  • Queue status enquiries
  • Follow-up, vaccination and other reminders (as configured by the clinic)
  • Administrative dashboard tools for clinic staff

Features may be adjusted, added, or discontinued as the Service develops. We will provide reasonable advance notice of material changes where practicable.

3. Clinic Responsibilities

Clinics using the Service agree to:

  • Comply with Meta's WhatsApp Business Platform policies, including its Business Policy
  • Not use the Service to send unsolicited advertising or promotional messages without patient consent
  • Not use the Service to harass, defraud, or mislead patients
  • Comply with applicable medical regulations and professional codes of conduct for their practice
  • Be responsible for the accuracy of patient data entered into the Service
  • Safeguard dashboard login credentials and be responsible for activity under their account

4. Fees

Clinics shall pay service fees in accordance with the agreed pricing plan on time. If payment is overdue, the Company may suspend or restrict the relevant account's services and will restore them promptly upon receipt of outstanding payment.

WhatsApp conversation fees are charged directly by Meta to the clinic and are separate from the Company's fees; please refer to Meta's official pricing for details.

5. Service Availability

We aim to maintain stable operation of the Service, but the Service relies on third-party platforms (including, without limitation, Meta's WhatsApp Business Platform and Google Cloud Platform). Where service interruptions, policy changes, or other factors outside the Company's reasonable control affect the Service, we will use reasonable efforts to assist clinics in understanding the situation and exploring alternatives, but we do not accept liability for compensation arising from such interruptions.

We will provide reasonable advance notice of known material service interruptions or maintenance where practicable.

6. Limitation of Liability

To the maximum extent permitted by applicable law, the Company's aggregate liability to a clinic arising from the Service shall be limited to the service fees paid by that clinic in the one-month period preceding the event giving rise to the claim.

The Company is not liable for indirect, incidental, or consequential losses arising from the acts, omissions, or service interruptions of the clinic or third parties (including, without limitation, Meta and Google). Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

7. Medical Disclaimer

The Service is a communication and administrative tool for clinics. AI-generated responses are intended for general enquiries and appointment scheduling only and do not constitute medical advice, diagnosis, or treatment recommendations. Clinics should ensure patients understand this limitation and direct patients to seek professional medical advice where appropriate.

8. Term and Termination

The Service is provided on the subscription terms agreed between the parties, renewing monthly or per the agreed cycle. Either party may terminate the Service by giving 30 days' written notice (including by email) to the other party.

The Company also reserves the right to suspend or terminate the Service, following reasonable notice, where a clinic materially breaches these Terms (for example, by misusing the Service to send non-compliant messages).

Following termination, patient data will be handled and deleted in accordance with the Company's Privacy Policy.

9. Changes to These Terms

We may update these Terms from time to time to reflect changes in law, technology, or our business. Material changes will be announced on this website, and the "Last updated" date above will be revised accordingly. Continued use of the Service after such changes constitutes acceptance of the updated Terms.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any disputes should first be resolved through good-faith discussion between the parties; failing resolution, disputes shall be submitted to the courts of Hong Kong.
